Mid/Senior Level Securities Associate (Atlanta, Chicago, DC, or Bay Area)

Kilpatrick is seeking an experienced Securities Associate to join our Securities Team. Ideal candidate would be mid/senior level with at least 5 years of direct experience, with a practice focused at least 50% on Securities work. Candidate will be based in either our Atlanta, Chicago, DC, or one of our Bay Area offices.  This role would support the public company clients of the Firm’s Securities Team and Financial Institutions Team with regular periodic reporting requirements.  The role would also support capital markets projects (equity and debt offerings), and general M&A.  The role would also assist in preparing periodic alerts and educational materials on securities law topics, and assisting with providing periodic training to clients on securities law and corporate governance matters. The role would deal directly with clients and could serve in many cases as a front-line support for securities law matters.

  • Ensure client compliance with federal and state securities laws, with particular focus on ’34 Act reporting.
  • Prepare/review or advise on routine client SEC filings; Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, Proxy Statements, and Section 16 filings.
  • Provide, support for securities offerings and capital markets transactions, including public and private issuances of equity and debt securities.  Capital Markets work will principally be focused on issuer representations and include all forms of capital raises.
  • Prepare and/or review or advise on other SEC filings, including Form S-8 and Form SD.
  • Draft, review and periodically update corporate governance and related policies (including Corporate Governance Guidelines, Clawback Policies, and Insider Trading Policies).
  • Assist clients with the preparation and planning for the annual stockholder meeting and shareholder engagements.
  • Advise on general securities disclosure matters, including press releases, earnings releases, investor presentations and other external communications.
  • Assist clients with compliance with applicable NYSE and Nasdaq requirements, including annual and periodic updates.
  • Provide, as needed, support for general M&A activity.
  • Work with KTS securities team to draft and publish blog entries and alerts on material new securities law developments.
  • Work with KTS securities team to coordinate training on securities and corporate governance matters, including insider trading and Regulation FD.

(Salary range: $270,000 – $355,000)

The position will be based in our Atlanta office although we will also consider candidates for our Silicon Valley (Menlo Park) office.  The ideal candidate will have experience in counseling clients regarding their most critical data issues arising under US and EU privacy/ data protection laws. Responsibilities

  • Collaborate with other associates as needed to develop client-ready deliverables.
  • Engage with clients to understand their business objectives and provide actionable legal advice.
  • Draft, review, and negotiate privacy-related contracts, agreements, and policies.
  • Stay abreast of changes in privacy laws and regulations, both domestically and internationally.
  • Assess the impact of legal developments on clients and provide guidance on maintaining compliance.
  • Conduct comprehensive privacy compliance/risk assessments for clients, identifying potential areas of vulnerability.
